Proterm Group accelerates growth with the acquisition of Tra.Ind.

The transaction further strengthens Proterm Group’s leadership in the Italian heat treatment market

Calderara di Reno (BO) – Nichelino (TO), November 13, 2024 – Proterm Group, Italy’s leader in metal heat treatment and controlled by the Metrika Fund, has strengthened its position and expanded its offering and geographical presence with the acquisition of 100% of Tra.Ind. S.r.l.

Founded in 1993, Tra.Ind. specializes in induction hardening and nitriding of mechanical components through thermal and thermochemical processes. With more than 400 customers, the company is a recognized reference point for leading industrial operators in Northwestern Italy, thanks to its high quality and service standards.

Tra.Ind. is equipped with state-of-the-art plants and furnaces, including a newly built, technologically advanced low-pressure carburizing facility. This site adds to Proterm Group’s current seven production facilities located in Bologna, Reggio Emilia, Pesaro, and Turin, ensuring broad geographical coverage of the domestic market and reinforcing its position as Italy’s leading heat treatment provider.

This transaction is part of Proterm Group’s development plan, which, with Metrika’s support, aims to drive organic growth and implement a targeted M&A strategy to consolidate what is currently a highly fragmented market.

Proterm Group’s management is proud to welcome an operator like Tra.Ind., whose proven industrial expertise makes it the ideal partner for a broader development and consolidation project. This acquisition enables the Group to expand its range of heat treatments and meet the highest market standards.

Proterm was advised by Roberto Rio, Elmar Zwick, Priscilla Conti, Martina Ranzani, and Francesco Bernardi of LMCR for contractual and legal due diligence matters; by PwC, with Federico Mussi, Giorgio Falcione, Alessio Rolando, Giulia Giordano, Carlotta De Stefano, and Davide Plaka, for financial and tax due diligence; and by ERM for EHS due diligence with a team comprising Andrea Perna, Marco Orecchia, Luca Ferioli, and Lorenzo Canepa.

Tra.Ind. was advised by Nexumstp as M&A Advisor, with Massimo Nardini and Sofia Giubergia, and by Pavesio e Associati, with Carlo Peyron and Ceretti Carolina, for contractual matters.
